Delaware judge steps back from Musk cases amid LinkedIn emoji row
Judge Kathaleen McCormick of Delaware's Court of Chancery has reassigned three cases involving Elon Musk to fellow judges on the court, following allegations that she demonstrated partiality by engaging with a LinkedIn post widely seen as critical of Musk.
McCormick, who presides over some of the highest-profile corporate litigation in the United States, denied that her LinkedIn activity constituted bias but elected to transfer the cases rather than contest the matter through protracted recusal proceedings. The precise nature of the LinkedIn interaction — described in reporting as a reaction using a heart emoji on a post mocking Musk — was the trigger for the bias allegations.
The reassignment covers three separate shareholder cases. McCormick had previously overseen the Delaware litigation concerning Musk's $56 billion Tesla compensation package, which she voided in a 2024 ruling that Musk and Tesla subsequently sought to reverse or circumvent.
The Court of Chancery is the preferred jurisdiction for corporate disputes involving companies incorporated in Delaware, which includes the majority of S&P 500 constituents. Judicial continuity matters in complex multi-year cases, and any change in presiding judge introduces uncertainty over scheduling and the application of prior rulings.
